This agreement is for your local station to host the broadcast of a WiseCracking Radio Comedy Challenge.  The event is produced by RWNB Media also known as The RWNB Radio Company, here to referred to as “RWNB”.   The radio station named above will be known as “the station”

 

The station is entering an at will agreement with RWNB to carry WiseCracking events on a tape delayed basis, the events will be scheduled per event.  The station will carry the two hour broadcast event with in 2 to 3 days after the live event as agreed to. 

The broadcast will include six segments and 24 local or national commercials from RWNB, it will allow for 6 station commercials during that time.  Individual agreements may be adjusted per station need but will to the degree possible follow the attached program clock.

Upon demand, RWNB will produce 1 event every 20 days or so unless the deal is canceled by either the station or RWNB, cancel notice must be given right after airing of the current scheduled event.   Final details can be decided by the parties involved on a case by case basis.

RWNB plans to produce Wisecracking events in other markets, in some cases the listening area may have some overlap.  All comedy events no matter the market can be aired in all markets, RWNB just asks that it be notified.

RWNB will also produce other programming for radio which current affiliates will be given the first opportunity to air, after the station says no or does not respond in 10 days RWNB will be free to approach other stations in the market dealing with the other programs.  And if the station should end it deal with RWNB to air Wisecracking Radio or any other programming offered by RWNB, RWNB will also be able to find another radio outlet for it’s programming immediately.

This contract will be renewed on a monthly basis automatically unless either RWNB or the station wishes to renegotiate terms.  If new terms can not be agreed to by all parties involved this contract remains in full effect.

If RWNB cancels the contract it will be due to lack of interest from either contestants, audience, or sponsors.  As long as we have interest and finances to produce events in the community, we will stay faithful to the station we signed with.  Likewise, we ask that stations do the same and support only RWNB with the programs we offer, and not to replace our programming with that produced by others or your own similar content for at least 6 months after ending the agreement with RWNB.  And under no circumstance shall the station use RWNB names, content, or ideas without consent of RWNB.

The cash terms of this deal will be agreed to in a separate agreement based on the market, details of commercials aired, and production work done.  While RWNB would prefer a barter agreement in the long run, in order to enter a new market we will consider buying the air time and related commercials to promote the event, the cost will be negotiated from that point.

A SAMPLE AGREEMENT:  RWNB will rent airtime for the 2 hour event based on the value of 8 commercials, that would normally play at that time, between music.  RWNB will allow for 6 station commercials, time and temp breaks, and station IDs.  All other time will belong to RWNB in which we will produce the event and sell 24 commercials at twice the normal station rate because we will have a well promoted event, with many more listeners than normal at that time.  We offer a value added community event.  If the station elects to carry an out of market event they will control only 50% of commercial inventory, or pay 40% of the value of commercials scheduled  if greater than 50%.

This agreement is made in good faith, with Brian Ducklinsky owner of RWNB, who will do all in his power to find common ground, and work with willing partners on a case by case basis.
